Main Stage Bets: Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER, PARTICIPATE OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. NO TICKET TO OR ATTENDANCE AT MAIN STREET SUMMIT OR CAPITAL CAMP IS REQUIRED TO ENTER, PARTICIPATE OR WIN. PARTICIPATION IN THE PREDICTION SESSIONS IS LIMITED TO PERSONS PHYSICALLY LOCATED WITHIN THE STATE OF MISSOURI AT THE TIME THEY SUBMIT EACH PREDICTION. WINNERS MUST CLAIM PRIZES IN PERSON IN COLUMBIA, MISSOURI, AS DESCRIBED IN SECTION 7. OPEN TO ELIGIBLE INDIVIDUALS 18 YEARS OF AGE OR OLDER. PREDICTIONS MAY NOT BE SUBMITTED FROM OUTSIDE THE STATE OF MISSOURI. VOID WHERE OTHERWISE PROHIBITED OR RESTRICTED BY LAW.

These Official Rules govern the five (5) prediction session contests (each a “Prediction Session” and collectively, the “Prediction Sessions”) conducted through the Main Stage Bets mobile application (the “Application”), companion website, and any other interface or platform through which Main Stage Bets is made available (collectively, the “Platform”) in connection with Main Street Summit and Capital Camp, held September 15 through September 17, 2026, in Columbia, Missouri (collectively, the “Event”). Prediction Session 1 is an exhibition session only and does not award a prize. Prediction Sessions 2, 3, 4 and 5 each award the prize described in Section 6.

Main Stage Bets is a free promotional prediction game. No person participating in Main Stage Bets (each, a “Participant”) pays or provides anything of monetary value to receive Game Points, submit Predictions or compete in a Prediction Session. Game Points are provided solely for use within Main Stage Bets, cannot be purchased, transferred or redeemed, and have no cash or other monetary value.

Each prediction opportunity offered through Main Stage Bets is referred to in these Official Rules as a “Market.”

A Participant’s selection of an outcome in a Market, including any selection described in the Platform or related materials as a “bet,” is referred to in these Official Rules as a “Prediction.”

By creating a Main Stage Bets account, each Participant affirmatively accepts and agrees to be bound by these Official Rules, which form a binding agreement between such Participant and Sponsor.

1. Sponsor

Main Stage Bets is sponsored and administered solely by 10th Street Talent, LLC, 307 N 10th St, Columbia, MO 65201 ("Sponsor"). Sponsor is also the developer of the Platform and the holder of the developer accounts through which the Application is distributed.

2. Eligibility

To participate in a Prediction Session, an individual must:

• be 18 years of age or older;

• be physically located within the State of Missouri at the time each Prediction applicable to the relevant Prediction Session is submitted;

• have a Main Stage Bets account in good standing; and

• otherwise comply with these Official Rules and the then-current Main Stage Bets Terms of Use made available through the Platform (the “Terms of Use”).

Missouri residency is not required. An otherwise eligible individual may participate regardless of the individual’s state of residence, provided that the individual is physically located within the State of Missouri each time the individual submits a Prediction in a Prediction Session.

No ticket to or attendance at the Event is required to enter, participate in or win a Prediction Session. Any individual satisfying the eligibility requirements above may create an account and participate, whether or not the individual holds a ticket to the Event. A winner must, however, claim the applicable prize in person at the General Store in Columbia, Missouri, in accordance with Section 7. The requirement to appear in person to claim a prize is a condition of prize fulfillment only and is not a condition of entry, participation or winning.

Access to, download of or viewing of the Platform from outside Missouri does not constitute an offer by Sponsor to permit participation in a Prediction Session from outside Missouri. A person located outside Missouri may access portions of the Platform but may not submit a Prediction in a Prediction Session while physically located outside Missouri.

Each time a Participant submits a Prediction in a Prediction Session, the Participant represents and certifies that the Participant is then physically located within the State of Missouri. Sponsor may rely on that representation and certification.

Sponsor may use IP-address information, device information, account information, Participant certifications, information voluntarily provided by a Participant or other information reasonably available to Sponsor to evaluate compliance with the Missouri physical-presence requirement. Sponsor is not obligated to collect or review any particular category of location information.

Any Prediction submitted while a Participant is physically located outside Missouri is ineligible and may be voided. If Sponsor determines or reasonably believes that a Participant submitted a Prediction while outside Missouri, falsely certified the Participant’s location, or used a VPN, proxy, location-spoofing technology or other means to conceal or misrepresent the Participant’s physical location, Sponsor may void one or more affected Predictions, disqualify the Participant from the applicable Prediction Session or from all Prediction Sessions, and deny or require forfeiture of any prize, subject to applicable law.

Employees, officers, directors, managers and members of Sponsor; persons directly involved in developing, administering, operating, scoring or fulfilling the Prediction Sessions; and any person who has access to nonpublic information that would provide a material competitive advantage in a Prediction Session are not eligible to win a prize in that Prediction Session. The immediate family members and household members of the foregoing persons are also ineligible to win. For purposes of these Official Rules, “immediate family member” means a spouse, domestic partner, parent, child or sibling, and the spouse or domestic partner of any such person, whether or not residing in the same household.

Sponsor may designate additional individuals as ineligible to win where Sponsor reasonably determines that their participation could compromise the actual or perceived fairness or integrity of a Prediction Session.

Limit one (1) Main Stage Bets account per person. Creating or using more than one account, or participating through automated or other unauthorized means, may result in disqualification, voiding of affected Predictions and forfeiture of any prize.

3. Contest Period and Prediction Sessions

Main Stage Bets will be conducted through five (5) Prediction Sessions across the Event. Four (4) of the five (5) award a prize. All times are United States Central Time:

• Prediction Session 1, the 10th St. Talent Tailgate, Tuesday, September 15, 2026. No prize. Entry closes at 5:15 p.m. CT. Winner announced at 6:00 p.m. CT. This Prediction Session’s Markets are about the Tailgate itself. It is played for leaderboard standing and recognition only. No gift card or other prize is awarded for Prediction Session 1.

• Prediction Session 2, Wednesday, September 16, 2026. Entry closes at 9:30 a.m. CT. Winner announced at 11:00 a.m. CT.

• Prediction Session 3, Wednesday, September 16, 2026. Entry closes at 4:00 p.m. CT. Winner announced at 5:30 p.m. CT.

• Prediction Session 4, Thursday, September 17, 2026. Entry closes at 9:30 a.m. CT. Winner announced at 11:00 a.m. CT.

• Prediction Session 5, Thursday, September 17, 2026. Entry closes at 3:00 p.m. CT. Winner announced at the end of this Prediction Session.

Entry closes at the stated time. Once a Prediction Session’s entry deadline passes, its Markets are locked and no further Predictions can be placed on them. The Platform shows the lock time on every Market and on that Prediction Session’s leaderboard, and a Market stops accepting Predictions the moment it locks.

If a Prediction Session’s program runs materially behind and Sponsor moves an entry deadline later, the Platform will be the authoritative source for the time then in effect, and the new time will be shown on every affected Market before the revised deadline occurs.

Sponsor will not intentionally extend or reopen a Market after the event, statement, conduct or other circumstance relevant to that Market has begun or after information material to the outcome has become publicly available. If a Market is inadvertently left open or reopened after such time, Sponsor may void some or all Predictions submitted during the affected period or take another reasonable corrective action designed to preserve the fairness and integrity of the applicable Prediction Session.

Each Prediction Session’s results will be determined and the winner will be announced at or as reasonably practicable following the applicable time stated above. Prizes for Prediction Sessions 2, 3, 4 and 5 are awarded in accordance with Sections 6 through 8.

All Prediction Session schedules, lock times and announcement times are approximate and subject to reasonable adjustment by Sponsor based on the actual Event schedule, technical conditions, delays, interruptions or other circumstances affecting administration of the Prediction Sessions. Any adjustment will be made and applied in a manner Sponsor reasonably determines appropriate to preserve the fairness and integrity of the applicable Prediction Session.

4. How to Enter and How to Play

To enter, an eligible individual must (a) access Main Stage Bets by downloading and opening the Application from the Apple App Store or Google Play, or by accessing the companion website, (b) create a free account, and (c) submit at least one Prediction in a Market included in the applicable Prediction Session while physically located within the State of Missouri.

Creating an account requires a Participant to provide the information requested by the Platform, which may include the Participant’s name, email address, job title, company, and a password, and the Participant must confirm that the Participant is 18 or older and affirmatively accept these Official Rules. There is no entry fee and no purchase of any kind. No ticket to or attendance at the Event is required.

Every Participant receives 10,000 free gameplay points (“Game Points”) for each day of Main Stage Bets. Game Points are internal units used solely to make Predictions, calculate game results and determine leaderboard standings.

Game Points are provided to Participants free of charge; cannot be purchased, sold, assigned, transferred or gifted; cannot be redeemed, withdrawn or exchanged for cash, merchandise, services, gift cards or anything else of value; cannot be used to purchase any product or service; have no cash, monetary or redemption value; and do not create any ownership, property or vested right in favor of a Participant.

Sponsor may expire, reset, restore, adjust, correct or cancel Game Points as reasonably necessary to administer Main Stage Bets, correct errors, address misconduct or maintain the fairness or integrity of a Prediction Session.

Markets in Main Stage Bets use a parimutuel-style internal scoring mechanism. The Game Points staked by Participants on a Market constitute the applicable Market pool. When a Market is settled, Participants who selected the correct outcome receive Game Points from the pool in proportion to the number of Game Points each such Participant staked on the correct outcome, subject to any rounding methodology consistently applied by the Platform.

Any payout multiplier, projected payout or similar figure displayed by the Platform before a Market locks is an estimate that may change as Participants submit Predictions and allocate Game Points. A final payout cannot be determined until the Market locks and is settled.

The parimutuel pool is solely an internal game-scoring mechanism. No Participant contributes, deposits or risks money, property or any item having monetary or redeemable value.

Sponsor does not accept deposits or wagers of money or property in connection with Main Stage Bets and does not retain any portion of Game Points as compensation or otherwise derive any direct economic benefit from the outcome of any particular Prediction.

The use of terms such as “bet,” “stake,” “odds,” “market,” “pool,” “payout” or similar terminology within the Main Stage Bets name, branding or interface describes only the entertainment and scoring mechanics of the game. No real money, property or other item having monetary or redeemable value is wagered, deposited or paid by any Participant.

5. How the Winner of Each Prediction Session is Determined

The winner of each Prediction Session is determined based on the Participant’s performance in that Prediction Session, as measured by the scoring methodology described below. Participants may improve their performance through their selection of Markets, assessment of potential outcomes, and allocation of Game Points. Winners are not selected by random drawing.

For each Prediction Session, a Participant’s score is the net number of Game Points that the Participant gained or lost across every Prediction that settled in that Prediction Session, calculated as the total Game Points paid out to the Participant on winning Predictions in the Prediction Session, minus the total Game Points the Participant staked on all Predictions in the Prediction Session. The Participant with the highest net score at the end of the Prediction Session wins that Prediction Session, subject to verification of eligibility and compliance with these Official Rules.

Ties are broken as follows, in order: first, the tied Participant who staked the most total Game Points on settled Predictions in the Prediction Session wins; second, if still tied, the tied Participant who placed their first Prediction earliest in the applicable Prediction Session, as determined by Sponsor’s records, wins. If two or more Participants remain tied after application of the foregoing tie-breakers, the applicable prize will be divided equally among the remaining tied Participants through separate General Store gift cards having an aggregate value equal to the stated value of the applicable prize.

Scores are calculated by the Platform from Sponsor’s records of settled Predictions.

Any leaderboard displayed on the Platform is preliminary and provided for informational and entertainment purposes only. Official results are determined from Sponsor’s records after Sponsor completes any corrections, adjustments, eligibility review and verification that Sponsor reasonably determines appropriate. A displayed leaderboard, score, Game Point balance, projected multiplier, notification or other Platform information does not independently create any right to a prize.

Predictions that have not settled when a Prediction Session ends, on Markets whose outcome is not yet known, are not counted toward that Prediction Session’s score. Neither the Game Points staked on such a Prediction nor any payout subsequently attributable to that Prediction will be included in the applicable Prediction Session score.

Sponsor will determine whether and how each Market has resolved based on the applicable presentation, event, conduct or other source material and information Sponsor reasonably considers reliable. If the outcome of a Market is ambiguous, disputed, incapable of objective determination, affected by error or otherwise cannot reasonably be resolved, Sponsor may void the Market for all Participants or take another reasonable corrective action designed to preserve the fairness and integrity of the Prediction Session.

Unless Sponsor expressly determines otherwise as part of another corrective action, a voided Market will be disregarded in calculating the applicable Prediction Session score, and Game Points staked on the voided Market will be restored or otherwise excluded from the applicable scoring calculation.

Sponsor’s determination of the results and winner of each Prediction Session in accordance with these Official Rules is final and binding, subject to Section 14 and applicable law.

6. Prizes

Four (4) prizes are available in total, one for each of Prediction Sessions 2, 3, 4, and 5. The verified winner of each such Prediction Session will receive one gift card to the General Store, the retail store at Main Street Summit, with a value of $500 in United States dollars. The approximate retail value (“ARV”) of each prize is $500, and the aggregate ARV of all prizes offered in the Prediction Sessions is $2,000. Prediction Session 1, the Tailgate Prediction Session, awards no prize.

The prizes relate solely to the General Store at Main Street Summit in Columbia, Missouri, and can be used only there. Each prize must be claimed in person at that location, as described in Section 7.

The requirement that a winner appear in person to claim a prize is a condition of prize fulfillment only. It is not a condition of entry, participation or winning and does not require a Participant to purchase a ticket to or attend the Event in order to participate in a Prediction Session.

A Participant may win more than one Prediction Session.

Sponsor may require any winner to provide a completed IRS Form W-9 and any other documentation reasonably necessary for tax reporting, prize administration, eligibility verification or compliance with applicable law. See Section 9.

Prizes are not transferable, and no cash equivalent is available. Each gift card is subject to the General Store’s own terms, including any expiration date or usage restriction the General Store imposes, and Sponsor is not responsible for those terms.

Sponsor makes no representation or warranty regarding the General Store, merchandise sold by the General Store, or the availability, quality or suitability of any item for which a prize is used.

If a stated prize becomes unavailable for reasons beyond Sponsor’s reasonable control, Sponsor may substitute a prize of equal or greater approximate retail value. All prize details not expressly stated in these Official Rules will be determined by Sponsor in its reasonable discretion.

The overall Event leaderboard displayed on the Platform is provided for recognition only and does not carry a separate prize. The only prizes awarded through Main Stage Bets are the four prizes associated with Prediction Sessions 2, 3, 4 and 5, as described above.

7. Claiming Your Prize

Each prize must be claimed in person at the General Store at Main Street Summit in Columbia, Missouri. Physical attendance at the Event is not required to participate in or win a Prediction Session; however, a winner must appear in person at the General Store and satisfy the verification and claim requirements of this Section before the applicable deadline in order to receive the prize. No ticket purchase is required to claim a prize.

To claim a prize, a winner must check in with the 10th St. Talent team at the location or in the manner identified in the winner notification and present valid government-issued photo identification reasonably satisfactory to Sponsor and matching the name associated with the winner’s Main Stage Bets account.

A Participant is not a winner entitled to receive a prize unless and until Sponsor has verified the Participant’s identity, eligibility, compliance with the Missouri physical-presence requirement and compliance with these Official Rules.

Every prize must be claimed in person by 5:30 p.m. CT on Thursday, September 17, 2026.

Within that outer limit, the deadline depends on when the winner of the applicable Prediction Session is announced:

• Prediction Sessions announced on Wednesday, September 16, 2026 (Prediction Sessions 2 and 3). Claim in person before the General Store closes that day or reply to the winner notification email confirming that you will claim in person and then claim by 5:30 p.m. CT on Thursday September 17.

• Prediction Sessions announced on Thursday, September 17, 2026 (Prediction Sessions 4 and 5). Claim in person by 5:30 p.m. CT that day. Because Thursday is the last day of Main Street Summit and Capital Camp, replying to the email does not extend this deadline. Prediction Session 5 in particular is announced at the end of its session that afternoon, so the available claim period may be brief.

If Sponsor delays the announcement or notification of a winner such that the otherwise applicable claim period becomes impracticable, Sponsor may extend the applicable claim deadline as reasonably necessary to provide the winner a reasonable opportunity to complete the verification and claim process.

As a condition to receiving a prize, Sponsor may require a winner to execute an affidavit or certification of eligibility, prize acceptance, liability release and, where lawful, publicity release, and to provide tax documentation or other information reasonably requested by Sponsor. Such documentation may be completed electronically.

If a winner does not claim the prize by the applicable deadline, the winner forfeits the prize, and the next eligible participant on that Prediction Session’s leaderboard becomes the alternate winner. Sponsor will notify that participant using one or more of the methods described in Section 8, and the same verification and claim conditions apply to the alternate winner.

Sponsor is not required to make more than one (1) alternate-winner selection for any prize. If no eligible alternate timely satisfies the prize conditions, the prize may remain unawarded.

Prediction Session 1, the Tailgate Prediction Session, awards no prize, so there is nothing to claim for it.

8. Winner Announcement and Notification

At the announcement time stated in Section 3, Sponsor will announce the applicable Prediction Session’s winner in three ways: in the Application, by push notification to Participants who have enabled notifications, and by email to the address on the winning account. All winner announcements are subject to verification. No person is entitled to a prize solely because the Application, leaderboard, push notification, email, public announcement or other communication identifies that person as a winner.

It is each Participant’s responsibility to keep the email address on the Participant’s account current and to monitor that address for communications from Sponsor. Sponsor is not responsible for a notification that is not received because of an incorrect or inactive email address, a full mailbox, a spam filter, notifications disabled on the Participant’s device, network or service-provider error, or another circumstance outside Sponsor’s reasonable control.

If an error causes the Application, leaderboard or another communication to identify the wrong person as a winner, Sponsor may correct the error and recognize the person Sponsor determines is the valid winner under these Official Rules.

9. Taxes

Each winner is solely responsible for all federal, state, and local taxes on their prize. Prizes are reportable income to the winner to the extent provided by applicable law.

Sponsor will make any tax reporting or withholding required by applicable law and may require a winner to provide a completed IRS Form W-9 or other tax documentation before receiving a prize. Failure to provide reasonably requested tax documentation may result in forfeiture of the prize.

10. Prohibition on Predicting Outcomes a Participant Controls or Knows in Advance

A Participant may not place a Prediction on any Market whose outcome the Participant can directly or indirectly control or materially influence or regarding which the Participant possesses material nonpublic, confidential or advance information that would provide a material competitive advantage over other Participants.

The clearest example: a speaker at the Event may not make a Prediction on Markets about their own speaking session, their own remarks, or anything else within their control or material influence to make happen or not happen.

A speaker, moderator, panelist, Event organizer, production team member, Sponsor representative or other person may also be restricted from a Market if that person has received scripts, talking points, presentation materials, rehearsal information, production information, scheduling information or other nonpublic information material to the Market’s outcome.

Sponsor may identify Participants who are restricted from particular Markets and may implement restrictions through the Platform that prevent those Participants from submitting Predictions in such Markets.

However, the absence of an automated restriction does not mean a Participant is eligible to submit the Prediction. Each Participant remains independently responsible for complying with this Section.

Placing or attempting to place such a Prediction through any other means voids the Prediction and may void the Participant’s score, eligibility for the applicable Prediction Session and any prize claim under Section 12.

This restriction applies on a Market-by-Market basis. Status as an organizer, employee, contractor, speaker or other Event participant does not necessarily prohibit participation in every Market, but no person may participate in a Market where that person has material influence over, control of or material nonpublic information concerning the outcome.

11. No Affiliation with Apple or Google

The Prediction Sessions are sponsored and administered solely by Sponsor, 10th Street Talent, LLC. Neither Apple Inc. (“Apple”) nor Google LLC (“Google”) sponsors, endorses, administers or conducts Main Stage Bets, the Prediction Sessions, the Event or any related promotion, activity or prize.

Apple and Google are not sponsors of, and are not responsible for conducting or administering, the Prediction Sessions, the Platform (including the Application), the Event or any related activity. Neither Apple nor Google has any involvement in the design, development, operation, administration or promotion of the Prediction Sessions; the creation or resolution of any Market; the calculation of any score; the determination of any winner; the selection, administration or fulfillment of any prize; or any other aspect of the Prediction Sessions. Neither Apple nor Google has any involvement in the organization, operation or administration of the Event.

Participation in Main Stage Bets or any Prediction Session does not create any relationship between a Participant and Apple or Google other than any relationship arising independently from the Participant’s use of services provided by Apple or Google. Neither Apple nor Google is a sponsor or party to these Official Rules or to any transaction, arrangement or relationship between a Participant and Sponsor arising out of or relating to Main Stage Bets, any Prediction Session or any prize.

Any questions, comments, claims, concerns or complaints regarding the Platform (including the Application), the Prediction Sessions, any Market, any prize or these Official Rules must be directed solely to Sponsor and not to Apple or Google.

12. Conduct, Disqualification, and Sponsor's Rights

Sponsor may disqualify any Participant and void some or all of the Participant’s Predictions, scores, Prediction Session results and any prize claim if Sponsor reasonably believes the Participant has:

• created, maintained or used more than one account;

• provided false, inaccurate or misleading account, eligibility or location information;

• submitted a Prediction while physically located outside Missouri;

• manipulated or attempted to manipulate Main Stage Bets, the game or the pools;

• colluded or coordinated with another Participant to manipulate a Market, score, pool or result;

• made or submitted a Prediction on a Market whose outcome the Participant can directly or materially influence or regarding which the Participant possesses prohibited material nonpublic information;

• used automated or unauthorized means to place Predictions;

• tampered with the Application or any other element of the Platform;

• acted in bad faith in connection with Main Stage Bets;

• exploited or attempted to exploit a bug, latency issue, programming error, scoring error or other technological vulnerability;

• violated these Official Rules or the Terms of Use; or

• acted in a way that is abusive or disruptive to other Participants or inconsistent with the intended fair operation of the Prediction Sessions.

Sponsor may investigate suspected violations and may request information reasonably necessary to verify identity, eligibility, physical location or compliance with these Official Rules. Failure to reasonably cooperate with a verification request may result in disqualification.

Sponsor may modify, suspend, cancel, shorten or extend a Prediction Session if fraud, a technical failure, Event cancellation or delay, or any other cause beyond Sponsor’s reasonable control corrupts or impairs or Sponsor reasonably determines is likely to corrupt or impair the administration, security, fairness, integrity, or proper conduct of the applicable Prediction Session. Sponsor will exercise this authority in a manner Sponsor reasonably determines is appropriate to preserve fairness and integrity.

If a Prediction Session is cancelled after Predictions have been submitted, Sponsor may award the prize based on the eligible Predictions and valid results recorded up to the point of cancellation or may determine that no prize will be awarded if Sponsor reasonably concludes that a fair winner cannot be determined.

Sponsor may void an individual Market without cancelling an entire Prediction Session if Sponsor reasonably determines that the Market cannot fairly or reliably be resolved.

Sponsor may correct scoring, settlement, leaderboard, Game Point balance, display, tabulation, notification, eligibility or administrative errors at any time before final verification and delivery of a prize. Sponsor’s records, after any such correction, control over any inconsistent display or information presented in the Platform.

Sponsor is not responsible for lost, late, misdirected, or incomplete Predictions or communications; for network, hardware, software, or internet failures; or for any error in the transmission or processing of Predictions that is beyond its reasonable control.

Sponsor’s failure to identify or prevent a violation before completion of a Prediction Session does not waive Sponsor’s right to subsequently disqualify a Participant, void affected Predictions or scores, or require forfeiture or return of a prize or reimbursement of its value obtained through fraud, material misrepresentation or material violation of these Official Rules, to the extent permitted by applicable law.

13. Release; Disclaimer; Limitation of Liability

BY PARTICIPATING OR ATTEMPTING TO PARTICIPATE IN MAIN STAGE BETS OR A PREDICTION SESSION OR ACCESSING OR USING THE PLATFORM IN CONNECTION WITH MAIN STAGE BETS, EACH PARTICIPANT AGREES TO AND HEREBY DOES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RELEASE, DISCHARGE AND HOLD HARMLESS (I) SPONSOR; (II) MAIN STREET SUMMIT, CAPITAL CAMP AND THEIR RESPECTIVE ORGANIZERS, PRODUCERS AND OPERATORS; (III) APPLE INC. MAIN STAGE BETS, THE PLATFORM, MARKETS, PREDICTION SESSIONS AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY AND ERROR-FREE OPERATION. NO RELEASED PARTY MAKES ANY REPRESENTATION OR WARRANTY THAT THE PLATFORM, GAME POINTS, MARKETS, SCORING METHODOLOGY, LEADERBOARD OR PREDICTION SESSIONS WILL BE UNINTERRUPTED, ERROR-FREE OR FREE FROM DELAY, LATENCY, TECHNICAL FAILURE OR OTHER DEFECT.

NO RELEASED PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF PROFITS, LOSS OF GOODWILL OR SIMILAR DAMAGES ARISING OUT OF OR RELATING TO MAIN STAGE BETS, THE PLATFORM, A PREDICTION SESSION, THESE OFFICIAL RULES OR ANY PRIZE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Disputes and Governing Law

These Official Rules and any dispute, claim, action or proceeding arising out of or relating to Main Stage Bets, the Platform, a Market, a Prediction, a Prediction Session, the administration or scoring of a Prediction Session, eligibility to participate or win, a prize or these Official Rules (collectively, a “Dispute”) are governed by and construed under the laws of the State of Missouri, without regard to any choice-of-law or conflict-of-laws rule that would require application of the laws of another jurisdiction.

The Prediction Sessions are offered and administered from Missouri, relate to the Event occurring in Missouri and, as a condition of participation, require each Participant to be physically located within Missouri at the time the Participant submits each Prediction.

Any judicial action or proceeding arising out of or relating to a Dispute must be brought exclusively in the state courts located in Boone County, Missouri or, if federal subject-matter jurisdiction exists, the federal court with jurisdiction over Boone County, Missouri. Each Participant irrevocably consents to the personal jurisdiction of those courts and waives, to the fullest extent permitted by applicable law, any objection based on venue, lack of personal jurisdiction or inconvenient forum, subject to any non-waivable rights under applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTICIPANT AND SPONSOR KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY JUDICIAL ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO A DISPUTE.

To the fullest extent permitted by applicable law, each Participant agrees that any Dispute will be brought solely in the Participant’s individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative or private-attorney-general action.

15. Privacy

Information collected from Participants is handled as described in the Main Stage Bets Privacy Policy
(the “Privacy Policy”), available at https://msb.10thsttalent.com/privacy and on the privacy screen inside the Application.

Sponsor may collect, use and retain information reasonably necessary to administer and protect the integrity of Main Stage Bets and the Prediction Sessions, including account information, Predictions, Game Point transactions, scores, eligibility records, winner information, tax information, Participant certifications and, to the extent reasonably available to Sponsor and disclosed in the Privacy Policy, device, network and IP-address information relevant to evaluating a Participant’s physical location or suspected circumvention of the geographic eligibility requirements.

Sponsor may retain Prediction Session administration, eligibility, winner, tax, fraud-prevention and dispute records for the period reasonably necessary to administer the Prediction Sessions, comply with applicable legal, tax, audit and record-retention requirements, prevent or investigate fraud and resolve disputes, as further described in the Privacy Policy. Certain records may therefore be retained after deletion of a Participant’s general Main Stage Bets account.

Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to publish the winner’s name and city and state of residence for purposes of announcing, documenting and promoting the results of the applicable Prediction Session without additional compensation.

16. Official Rules; Amendments; Severability

These Official Rules are presented inside the Application and are also posted at https://msb.10thsttalent.com/contest-rules. If the Application and the posted version ever differ, the version posted at https://msb.10thsttalent.com/contest-rules controls.

The Terms of Use govern use of the Platform generally. These Official Rules govern participation in and administration of Main Stage Bets and the Prediction Sessions. If these Official Rules conflict with the Terms of Use concerning eligibility, Predictions, Game Points, scoring, determination of results, prizes or another contest-specific aspect of a Prediction Session, these Official Rules will control with respect to that matter.

Sponsor may amend these Official Rules where reasonably necessary to correct an error, address an unforeseen circumstance, comply with applicable law, protect the security or integrity of the Prediction Sessions, or clarify administration of Main Stage Bets. Sponsor will not materially adversely change the eligibility criteria, scoring methodology or prize applicable to a Prediction Session after Predictions for that Prediction Session have begun, except where Sponsor reasonably determines that the change is necessary to comply with applicable law or preserve the fairness or integrity of the Prediction Session.

If any provision of these Official Rules is determined to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain in full force and effect.

Sponsor’s failure to enforce any provision of these Official Rules in any instance does not waive Sponsor’s right to enforce that provision or any other provision thereafter.
